Gighrly Directory - Terms of Service

The Gighrly Directory is a showcase space for HR Businesses to advertise their services. To keep things fair, safe and clear, we've set out how it all works below in both Plain English and Legal Detail. The Plain English side tells you what it means in everyday language; the Legal Detail is what you're formally agreeing to.
Section 1 - What the Directory Is & Who It's For
Plain English
The Gighrly Directory is a showcase space for HR Businesses to advertise their services. It is free to search for HR services.
To list as an advertiser, you must first pay a listing fee. The listing is valid for 12 months.
A listing may be offered either free of charge or at a discount as part of a membership benefits package provided by third parties. If you cease to be a member, the standard listing fee will become payable in order to continue to advertise and will be valid for 12 months from the date of payment.
Legal Detail
The Gighrly Directory ("Directory") is operated by Nu Leaf Ltd (trading as Gighrly), a company registered in England and Wales (Company No. 07001744), with its registered office at 167-169 Great Portland Street, W1W 5PF.
Access to and use of the Directory is via a paid-for application process. The advertising term is 12 months, and the listing fee will become chargeable again upon renewal.
A standard listing may also be offered either free of charge or as a discounted component when offered in partnership with other providers. Featured listings are only available via an upgrade once a standard listing has been purchased/activated.
No third party may advertise, list, or promote services in the Directory without first going through the application process.
If membership of associated partner products/benefits ceases, the standard listing will also cease. Should an advertiser wish to continue with the listing separately, this will become chargeable prior to reinstatement. The annual term will then re-commence from this point.
Section 2 - Standard vs Featured Listings

A Standard Listing covers your basic profile and being searchable and lasts for 12 months. The price of a Standard Listing is shown on our Directory site.
If you want more visibility, you can choose to pay for a Featured Listing, which may include things like:
- Higher placement in search
- Extra profile fields
- The opportunity to publish directory blogs and build your authority
- Occasional extra promo by Gighrly via our social media and main website
The Featured Listing lasts for 12 months from when you upgrade and then you can renew if you wish. The price to upgrade to a Featured Listing is shown on our Directory site.
Legal Detail
A "Standard Listing" ordinarily comprises core profile information: name, business name, contact details, locations served, and areas of expertise, together with inclusion in standard search results. There is also the option to secure ratings and testimonials from customers which act as social proof.
Standard Listing advertisers may elect to upgrade to a "Featured Listing" subject to payment of the applicable upgrade fee.
Featured Listings provide enhanced benefits, which include priority placement in search results, and the opportunity to create Directory-related blogs - and may include additional profile content, highlights, or other marketing features, as determined by Gighrly from time to time.
The Featured Listing term is twelve (12) months from the date Gighrly confirms receipt of the upgrade fee. At the end of the term, continued Featured status is subject to renewal and further payment.
Section 3 - Membership Status, Term & Refunds

Your listing is for 12 months from the date of payment or enrolment into a third-party partner's membership programme.
- If your membership ends, your listing (Standard or Featured) comes down. You can elect to reinstate this by paying the listing fee and a new 12 month term will be activated.
- If you've paid for a 12-month Listing and you withdraw your listing early, there are no refunds. There are no refunds should either a standard or a featured listing be withdrawn within the 12-month period.
- There are also no refunds if we have to remove your listing because it breaks the rules.
Legal Detail
All Listings (Standard and Featured) are conditional upon the advertiser paying the listing fee or by maintaining their membership of our partner's membership programmes.
If a partner membership subscription is cancelled, suspended, or terminated (for any reason), we will remove the associated Directory listing(s) with immediate effect. Where a member has upgraded to a Featured Listing, no refunds (full or partial) will be provided if:
- the member cancels their listing entirely or downgrades from a featured to standard listing;
- the Listing is removed under these Terms due to breach or misconduct of the advertiser.
Section 4 - Your Responsibilities & Behaviour
Plain English
You're responsible for your own listing. That means:
- Keeping your information accurate and up to date
- Being honest about what you do
- Not posting anything defamatory, abusive, discriminatory or unlawful
- Respecting other members and users
In short: be professional, be truthful, be kind.
Legal Detail
Advertisers are solely responsible for the content of their Directory listing(s) and for maintaining accurate, current, and lawful information.
Advertisers must not upload, publish, or otherwise submit any content that:
- is defamatory, discriminatory, hateful, harassing, obscene, or otherwise unlawful;
- is misleading, false or deceptive, including unsubstantiated claims;
- infringes any intellectual property rights or privacy rights of third parties; or
- breaches any applicable law or regulation.
Advertisers must not engage in conduct which brings, or is likely to bring, Gighrly or the Directory into disrepute. Gighrly reserves the right to edit, suspend, or remove any listing which, in its reasonable opinion, breaches these obligations.
Section 5 - Ratings, Reviews & Feedback
Plain English
People may leave ratings, comments or feedback about you. These are their views, not Gighrly's.
- We don't guarantee they're accurate or fair.
- We don't mediate disputes between you and clients.
- We may remove content that clearly breaks our rules, but we don't promise to intervene every time.
Legal Detail
The Directory may allow users to post ratings, testimonials, or reviews in relation to listed members. Such content represents the subjective opinion of the individual poster only. Gighrly does not endorse, verify, or guarantee the accuracy or completeness of any such ratings or reviews.
Gighrly is not liable for any loss, damage, or dispute arising from or in connection with any user-generated feedback. Gighrly may, but is not obliged to, remove or moderate content that it considers inappropriate, unlawful, or in breach of these Terms.
Section 6 - Marketing & Promotion of the Directory

We'll promote the Directory on:
- The Gighrly website
- Social media channels
- PR and press activities
- Email newsletters and campaigns
Your listing may appear in these promotions. This helps raise visibility of the directory and all advertisers.
We can't guarantee individual features or outcomes, and we can't promise any specific amount of work or income as a result.
Legal Detail
Members acknowledge and agree that Gighrly may market and promote the Directory via its website, email communications, social media channels, events, and PR or media activities.
By creating and maintaining a Listing, members grant Gighrly a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, and display their listing content (including business name, logo, and profile text) for the purposes of operating, promoting, and publicising the Directory and the Gighrly business support ecosystem.
Gighrly does not guarantee that any particular member or listing will be featured in marketing materials and provides no warranty as to the generation of leads, clients, or revenue through such promotion.
Section 7 - No Guarantee of Work
Plain English
The Directory is a showcase, not a promise of work. Being listed does not guarantee:
- Clients
- Leads
- Income
- Any particular outcome
You still run your own business and remain responsible for how you convert interest into work.
Legal Detail
The Directory is provided as a platform to facilitate visibility and potential connection between members and interested parties. Gighrly makes no warranty or representation that any member will receive enquiries, clients, assignments, or revenue as a result of appearing in the Directory.
Members remain solely responsible for their own business activities, including but not limited to client acquisition, proposals, pricing, contracts, delivery of services, invoicing, tax, and regulatory compliance.
Section 8 - Intellectual Property
Plain English
- You still own the content you add to your listing.
- You allow us to show it on the Directory and in our marketing.
- Our branding, platform and content belong to us.
Legal Detail
Members retain ownership of their own content submitted to the Directory, subject to the licence granted to Gighrly for operation and promotion as set out in Section 6.
All other elements of the Directory, including the platform design, structure, software, and Gighrly branding, remain the exclusive property of Nu Leaf Ltd or its licensors. Members acquire no rights in or to these elements other than the limited right to use the Directory in accordance with these Terms.
Section 9 - Prohibited Uses

You must not:
- Advertise for third parties or act as their front
- Spam other users
- Try to game search results
- Copy or scrape Directory data for your own database or another platform
Basically, don't abuse the system.
Legal Detail
Advertisers must not:
- list or promote third-party businesses in their own listing;
- use the Directory to send unsolicited bulk communications (spam) or for unlawful solicitation;
- manipulate or attempt to manipulate search rankings through artificial means;
- systematically harvest, scrape, copy, or export Directory data for commercial reuse outside Gighrly's services; or
- circumvent or attempt to circumvent any security, access, or usage limits applied to the Directory.
Gighrly reserves the right to suspend or terminate any listing or membership where prohibited uses are suspected and/or identified.
Section 10 - Availability, Changes & Liability

We'll do our best to keep the Directory running smoothly, but sometimes we may need to:
- Take it down for maintenance
- Update or change features
- Adjust how listings work
We're not responsible for business losses you might suffer from using (or not being able to use) the Directory.
You're responsible for your own business decisions.
Legal Detail
Gighrly aims to keep the Directory available and up to date but does not guarantee uninterrupted or error-free operation. The Directory may be suspended or modified (in whole or in part) for maintenance, improvements, or other operational reasons.
To the fullest extent permitted by law, Gighrly excludes all implied warranties relating to the Directory and shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, business, or goodwill arising out of or in connection with a member's use of, or inability to use, the Directory.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under the laws of England and Wales.
Section 11 - Changes to These Terms & Governing Law

We may update these Terms from time to time. We'll let you know via the website or member communications.
If you keep using the Directory after changes go live, that means you accept the updated Terms.
The legal stuff is governed by the laws of England & Wales.
Legal Detail
Gighrly may vary these Terms from time to time. Updated Terms will be posted on the Gighrly website and/or communicated to members by reasonable means. Continued use of the Directory after such changes take effect constitutes acceptance of the revised Terms.
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
